The agreement
These terms are between you and [COMPANY LEGAL NAME] (“Palermo”, “we”, “us”). By creating an account or using Palermo, you agree to them and to our privacy policy. If you use Palermo for a business, you confirm you’re authorized to accept these terms for it, and “you” means that business.
The service
Palermo connects to your Amazon Seller Central account, your email and your prep centers to show where your inventory is between retailers and Amazon, what it sold and earned, and what’s on its way into Amazon. Features may change as we improve them.
Beta
Palermo is currently in beta. Beta features may be incomplete, change, or be removed, and may have errors. We provide the beta free of charge and without the commitments that will apply to paid plans. We’ll tell you before any charge applies to your workspace.
Accounts and workspaces
- Keep your sign-in secure and tell us about any unauthorized use at security@trypalermo.com.
- Workspace owners control who is invited, what is connected, and whether the workspace is deleted. You’re responsible for what people you invite do in it.
- You must be at least 18 and able to form a binding contract.
Your data
You own the data you connect or upload (“your data”). You give Palermo permission to host, copy, process and display your data only as needed to provide, secure and support the service for you, as described in the privacy policy. You confirm you have the right to connect the accounts and share the files you give us.
We may use aggregated, de-identified information about how the service performs (for example, how many emails were matched) to operate and improve it. That never includes Google user data, never identifies you, and is never sold.
Amazon, Google and prep centers
Palermo works with services run by others, including Amazon, Google and your prep centers. Your use of those services is governed by their terms. If one of them changes or limits access, parts of Palermo may stop working. Palermo isn’t affiliated with or endorsed by Amazon or Google.
Acceptable use
Don’t:
- connect accounts or mailboxes you aren’t authorized to access;
- use Palermo to break the law or any Amazon, Google or retailer policy;
- try to access another workspace’s data, probe or disrupt the service, or get around its security or limits;
- reverse engineer the service, or resell it without our written permission.
Fees
Palermo is free during the beta. Paid plans will be priced per workspace. Before any charge applies we’ll publish the price on our pricing page and give workspace owners at least 30 days’ notice. Nothing is billed unless you choose a plan.
Not financial, tax or accounting advice
Palermo’s figures, including stage values, discrepancies, costs and profit, are calculated from the data connected to it and are only as complete and accurate as that data. They’re meant to help you run your business, not to replace your own records, an accountant, or tax, legal or financial advice. Check important numbers before relying on them, for example before filing a claim with Amazon or a prep center.
Ending the agreement
You can stop using Palermo and delete your workspace at any time. We may suspend or end your access if you breach these terms or if continuing would create legal or security risk, and we’ll tell you why unless we’re not allowed to. When a workspace is deleted, its data is deleted as described in the privacy policy.
Disclaimers
Palermo is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we don’t promise the service will be uninterrupted or error-free.
Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or inventory, arising from these terms or the service. Our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim or US $100.
Indemnity
You’ll defend and indemnify Palermo against third-party claims arising from your data or from your breach of these terms or of Amazon’s, Google’s or a retailer’s policies.
Governing law
These terms are governed by the laws of the State of [STATE], without regard to its conflict of law rules. The courts located in [STATE] have exclusive jurisdiction.
Changes
We may update these terms. For material changes we’ll email workspace owners at least 30 days before they take effect. Continuing to use Palermo after that means you accept the updated terms.
